References to financing, investors, acquisitions, divestitures, business sales, strategic transactions or similar activities describe potential areas in which PCM may assist businesses with strategy, opportunity development, introductions, analysis or execution, subject in all cases to the nature of the mandate, applicable law and any licensing or regulatory requirements.

Businesses should obtain appropriate legal, tax, accounting, financial or other professional advice where required for a particular matter.


4. No Client, Advisory or Fiduciary Relationship

Visiting this Site, contacting PCM, submitting the Contact form, completing the Commercial Opportunity Assessment, sending an email or otherwise providing information to PCM does not by itself:

  • create a client, advisory, agency, fiduciary or other professional relationship;
  • create an obligation for PCM to review, accept or pursue a proposed mandate or opportunity;
  • obligate PCM to provide services;
  • obligate the submitting party to engage PCM; or
  • establish any particular compensation arrangement.

Any engagement between PCM and a client will be governed by a separate agreement or other written understanding describing the scope of the mandate, responsibilities of the parties, compensation and other relevant terms.


5. Commercial Opportunity Assessment and Preliminary Submissions

PCM provides a Commercial Opportunity Assessment to help businesses identify and describe a significant problem, dependency or unrealized opportunity and to allow PCM to determine whether there may be a credible basis for creating measurable commercial value.

Information submitted through the Assessment may include:

  • the submitter’s name and business contact information;
  • company name, position or role;
  • company website and headquarters;
  • a description of the business problem, dependency or opportunity;
  • the areas of the business affected;
  • approximate financial impact or opportunity;
  • previous efforts to address the issue;
  • barriers to implementation;
  • readiness to act; and
  • available organizational capacity or resources.

Approximate financial information is sufficient for the preliminary Assessment.

Preliminary confidentiality

PCM recognizes that business inquiries may involve commercially sensitive matters. PCM will use information submitted through the Assessment primarily to evaluate the potential opportunity, communicate with the submitting organization and determine whether further discussions may be appropriate.

However, submission of information through this Site does not create a non-disclosure agreement, contractual confidentiality obligation or privileged relationship.

At the preliminary stage, users should not submit:

  • trade secrets;
  • proprietary formulas, source code or detailed technical specifications;
  • passwords, credentials or account information;
  • personal financial information;
  • sensitive personal information;
  • customer or supplier identities where disclosure is commercially sensitive;
  • information belonging to a third party that the submitter is not authorized to disclose; or
  • other information that should only be disclosed after execution of a confidentiality or non-disclosure agreement.

If further discussions require disclosure of materially sensitive or proprietary information, the parties may consider entering into an appropriate confidentiality agreement before that information is exchanged.

Submitting information does not transfer ownership of the submitter’s information, intellectual property or business ideas to PCM.

PCM may receive inquiries concerning similar industries, businesses, technologies or commercial opportunities from different organizations. A preliminary submission does not create exclusivity or prevent PCM from working with other organizations, subject to any confidentiality, conflict or exclusivity obligations subsequently agreed to in writing.

6. Scope of This Privacy Policy

This Privacy Policy applies to personal information that PCM collects through:

  • the Contact form;
  • the Commercial Opportunity Assessment;
  • email and other direct communications with PCM; and
  • related preliminary business-development interactions.

PCM does not use information submitted through the Commercial Opportunity Assessment for third-party advertising.

At the date of this Policy, the Site is not intended to use cross-site behavioural advertising or targeted advertising based on personal information collected through the Contact form or Commercial Opportunity Assessment.

PCM will not intentionally provide detailed confidential preliminary Assessment information to prospective customers, suppliers, investors, transaction parties or other commercial counterparties merely because an Assessment has been submitted.

If a formal engagement requires PCM to approach or disclose information to third parties in order to execute a mandate, those activities will be addressed as part of the engagement and any applicable confidentiality arrangements.

Legal requirements

PCM may disclose information where reasonably necessary to comply with law, regulation, legal process or a lawful governmental request, or to protect the rights, security or property of PCM or others.


12. Cross-Border Processing and Storage

PCM is a United States company and operates in a cross-border business environment.

Information submitted to PCM may be transmitted, processed or stored in the United States, Canada or another jurisdiction in which PCM or its service providers operate.

As a result, information may be subject to the laws of a jurisdiction other than the one in which the individual or company providing the information is located, and may be accessible to courts, law-enforcement authorities or regulatory bodies where permitted by applicable law.

Where required by applicable privacy law, PCM takes reasonable measures to assess and address privacy risks associated with cross-border processing or disclosure.


13. Retention of Information

PCM retains personal information only for as long as reasonably necessary for the purposes for which it was collected and for legitimate business, legal, accounting, security or record-keeping requirements.

Preliminary inquiries and Commercial Opportunity Assessments that do not lead to an engagement will ordinarily be retained for up to 24 months after the last substantive communication, unless:

  • discussions remain active;
  • the information remains reasonably relevant to a potential opportunity;
  • the submitting party requests deletion and PCM is legally permitted to comply;
  • a legal, regulatory, security or dispute-related reason requires longer retention; or
  • a different retention period is otherwise appropriate or required by law.

Information relating to an active or completed engagement may be retained for a longer period consistent with contractual, tax, accounting, insurance, regulatory, legal and legitimate business-record requirements.

When information is no longer reasonably required, PCM may securely delete, destroy or de-identify it, as appropriate.


14. Information Security

PCM uses reasonable administrative, technical and organizational safeguards appropriate to the nature and sensitivity of the information under its control.

These measures may include:

  • access controls;
  • password-protected accounts;
  • secure website connections;
  • reputable hosting and email infrastructure;
  • limiting access to information to those who reasonably require it; and
  • appropriate security and privacy practices for service providers.

No electronic communication, Internet transmission or information-storage system can be guaranteed to be completely secure. Users should therefore avoid submitting highly sensitive information through ordinary website forms or email unless appropriate safeguards have first been arranged.

Any dispute arising solely from use of this Site will, to the extent legally permitted, be subject to the jurisdiction of the appropriate courts in Delaware.
